The Compliance/Disease Management Program (known by PHARMACALL and other names), and any proposal associated with it, is being furnished and disclosed to any and all who receive thereof (the"Receiver"), on the basis that it be treated and protected as "Confidential Information." For this purpose, "Information" is defined as communications or data, in any form, including, but not limited to, oral, written, graphic or electromagnetic form.

Receiver agrees and warrants that: (i) any Confidential Information disclosed hereunder shall be used by them solely for the purposes for which Confidential Information is disclosed; (ii) any Confidential Information disclosed hereunder shall remain at all time the property of PHARMACALL; and (iii) except as may be required by applicable law or legal process, Receiver will not distribute, disclose, or disseminate such Confidential Information to anyone, except its employees (including employees of its parent, subsidiaries and affiliates) who have a need to know such Confidential Information for the purpose for which it is disclosed. (iv) Recipient and its employees agree not to inhibit PHARMACALL from marketing its capabilities or take any action which may be competitive or detrimental to PHARMACALL Nor will the Recipient represent such Confidential Information as its own.
